The Fashion Loupe — Terms of Use
Last Updated: September 19, 2026
PLEASE READ THESE TERMS OF USE ("Terms") CAREFULLY BEFORE USING THE FASHION LOUPE PLATFORM. BY CREATING AN ACCOUNT, ACCESSING, OR USING ANY PART OF THE FASHION LOUPE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.
1. Acceptance of Terms
1.1 These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lucca Bortolato de Menezes, an individual operating "The Fashion Loupe" as an individual venture pending formal incorporation ("The Fashion Loupe," "we," "us," or "our"), governing your access to and use of the website located at thefashionloupe.com, together with any related applications, dashboards, reports, data, and services (collectively, the "Service"). [UPDATE THIS once you incorporate a company — replace with the legal entity name, e.g., "The Fashion Loupe S.r.l."]
1.2 By registering for an account, clicking "I Agree," or otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference.
1.3 We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the "Last Updated" date above. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
2. Eligibility
2.1 You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service.
2.2 If you are using the Service on behalf of a company, organization, or other entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and "you" will refer to both you individually and the Organization.
2.3 By using the Service, you represent and warrant that your use complies with all applicable laws and regulations in your jurisdiction.
3. Description of the Service
3.1 The Fashion Loupe provides proprietary research, data aggregation, financial analysis, and competitive intelligence relating to companies and groups operating in the global fashion, luxury, design, and hospitality industries (the "Content").
3.2 The Service is provided for informational and research purposes only. The Fashion Loupe is not a financial advisor, investment advisor, broker-dealer, or accounting firm, and does not provide investment, financial, legal, tax, or accounting advice. Nothing on the Service constitutes, or should be construed as, an offer, solicitation, or recommendation to buy, sell, or hold any security or investment, or to make any business, financial, or investment decision. You are solely responsible for any decisions made in reliance on Content obtained through the Service, and you should consult a qualified professional before making any financial, investment, or business decision.
3.3 We may add, modify, suspend, or discontinue any feature, dataset, or part of the Service at any time, with or without notice, and without liability to you.
3.4 Early-Stage / Beta Service. The Service is currently in an early, actively-developed stage. Features, datasets, figures, and analyses may be incomplete, illustrative, based on estimates, or subject to change without notice. The Service should not be treated as a mature, fully verified commercial data product until expressly designated as such.
3.5 Data Accuracy; No Guarantee. Content on the Service, including financial figures, may be aggregated or estimated from public sources (e.g., public filings, press releases) and has not necessarily been independently verified against primary sources or audited financial statements. We do not guarantee the accuracy, completeness, or timeliness of any Content. Any figures, tickers, or price-like indicators displayed are illustrative unless expressly labeled as real-time or sourced from a licensed market data provider. If you believe any data on the Service is inaccurate, please report it to thefashionloupe@gmail.com; we will review reported errors but are under no obligation to correct them within any specific timeframe.
4. Accounts and Registration
4.1 To access certain features of the Service, you must create an account by providing accurate, current, and complete information, including your name, email address, and (where applicable) company and role.
4.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4.3 You agree not to: (i) create an account using false or misleading information; (ii) create an account on behalf of anyone other than yourself without authorization; (iii) share your account credentials with any third party; or (iv) maintain more than one account per person, unless expressly authorized by us.
4.4 We reserve the right to suspend or terminate your account, at our sole discretion, if we believe any information you provided is false, inaccurate, or incomplete, or if you violate these Terms.
5. Subscriptions, Plans, and Payment
5.1 Plans. The Service is offered under the following subscription plans ("Premium Features"), the details and feature scope of which are described on our Pricing page:
- a. Beginner — €9 per month, billed monthly, or €89 per year, billed annually (a discount versus the monthly rate);
- b. Pro — €25 per month, billed monthly, or €249 per year, billed annually (a discount versus the monthly rate); and
- c. B2B / Team — custom pricing, available on request, indicatively from €5,000 per year depending on scope, seats, and institutional requirements. B2B plans may be governed by a separate order form or enterprise agreement, which will take precedence over these Terms with respect to any conflicting provisions specific to that agreement.
All prices shown are final, tax-inclusive prices for consumers where applicable law requires tax-inclusive pricing (e.g., EU VAT); the applicable VAT or other tax is calculated and itemized at checkout but does not increase the total amount charged. For B2B/Team plans invoiced separately, applicable taxes may be added to the invoiced amount where required by law.
5.2 Billing and Renewal. Paid plans are billed in advance, either monthly or annually depending on the billing cycle you select. UNLESS YOU CANCEL BEFORE THE END OF YOUR CURRENT BILLING PERIOD, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR AN ADDITIONAL PERIOD OF THE SAME LENGTH, AND YOU AUTHORIZE US (OR OUR PAYMENT PROCESSOR) TO CHARGE YOUR PAYMENT METHOD ON FILE FOR THE RENEWAL. You are responsible for keeping your payment information current. B2B plans may instead be invoiced according to the terms agreed in the applicable order form.
5.3 Cancellation. You may cancel your subscription at any time through your account settings (once available) or by contacting thefashionloupe@gmail.com. Cancellation will take effect at the end of your current paid billing period; you will retain access to Premium Features until that date, and will not be charged for the following period.
5.4 Refunds. Except where required by applicable law (including statutory withdrawal rights that may apply to EU consumers for their first online purchase), fees already paid are non-refundable, including for partial billing periods or unused Premium Features. [FLAG FOR LUCCA: confirm this "no refund" stance is what you want — it mirrors TIKR's policy and is standard for subscription products, but if you'd rather offer e.g. a 14-day money-back window to reduce friction for early adopters, that should be stated explicitly here instead.]
5.5 Payment Processing. Payments are processed by a third-party payment processor (e.g., Stripe) [PLACEHOLDER — confirm processor once integrated]. We do not store your full payment card details on our own servers. Your use of the payment processor's services is subject to that processor's own terms and privacy policy.
5.6 We reserve the right to change our pricing at any time. Any pricing changes will apply prospectively and will not retroactively affect an active paid subscription period already paid for, except as otherwise permitted by law. We will provide reasonable advance notice of price increases to active subscribers before they take effect on renewal.
6. License Grant and Restrictions on Use
6.1 License. Subject to your compliance with these Terms (and, where applicable, payment of any required fees), we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the Content solely for your own internal, non-commercial or internal business informational purposes, and not for resale, redistribution, or any competitive use.
6.2 You acquire no ownership interest in the Service or the Content. All present and future rights, title, and interest in and to the Service — including all text, data, analysis, charts, reports, compilations, design, trademarks, logos, "The Fashion Loupe" name and brand, source code, and all other intellectual property — are and shall remain the exclusive property of The Fashion Loupe and/or its licensors.
6.3 Restrictions. Except as expressly permitted by these Terms or with our prior written consent, you shall NOT, and shall not permit any third party to:
- a. copy, reproduce, republish, redistribute, resell, sublicense, rent, lease, or otherwise make the Content or any part of the Service available to any third party, whether for commercial purposes or not;
- b. use any robot, spider, scraper, crawler, or other automated means, or any manual process, to access, extract, collect, or monitor any portion of the Service or the Content for any purpose without our prior express written permission;
- c. use the Content or the Service, in whole or in part, to build, train, populate, or improve any database, dataset, artificial intelligence or machine learning model, or any product or service that competes, directly or indirectly, with the Service;
- d. copy, modify, translate, or create derivative works based on the Service or the Content;
- e. reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the Service;
- f. remove, obscure, or alter any copyright, trademark, or other proprietary rights notices contained in or accompanying the Service or the Content;
- g. use the Service in any manner that could damage, disable, overburden, or impair the Service, or interfere with any other party's use of the Service;
- h. misrepresent your identity or affiliation, impersonate any person or entity, or use the Service to distribute any unlawful, defamatory, infringing, or harmful material; or
- i. use the Service to develop a competing product, or share access to the Service with a competitor of The Fashion Loupe.
6.4 We actively monitor for unauthorized use of the Service and reserve the right to pursue all available legal remedies — including immediate account termination, injunctive relief, and claims for damages — against any User or third party that violates this Section 6.
7. Intellectual Property; Copyright Complaints
7.1 The Service, as a whole and in its individual parts (including the selection, coordination, and arrangement of Content), is protected by copyright, trademark, trade secret, and other intellectual property laws and international treaties.
7.2 If you believe that content available through the Service infringes your copyright or other intellectual property rights, please notify us in writing at thefashionloupe@gmail.com with: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the allegedly infringing material and its location on the Service; (iii) your contact information; (iv) a statement of good-faith belief that the use is not authorized; and (v) a statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the rights owner.
7.3 Third-Party and Public Data. Certain data displayed on the Service may be derived from, or aggregate, publicly available sources (e.g., public company filings, press releases, and public market data) and/or third-party data providers. Such data is provided for convenience and informational purposes; The Fashion Loupe does not warrant its accuracy, completeness, or timeliness, and any applicable third-party provider's own terms of use may additionally apply to that specific data.
7.4 Third-Party Trademarks. Company names, brand names, logos, and trademarks referenced or displayed on the Service (including those of companies covered in our research and analysis, such as fashion and luxury groups) are the property of their respective owners. Such references are used solely for identification, commentary, and informational/research purposes (nominative use) and do not imply any affiliation, sponsorship, partnership, or endorsement by, or of, those companies unless expressly stated. We do not use third-party company logos as graphic image assets without appropriate rights; where a third-party brand is referenced, it is generally referenced by name/text only.
8. User Conduct
You agree not to use the Service to:
- violate any applicable law, regulation, or third-party right;
- upload or transmit any virus, malware, or other harmful code;
- attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems or networks;
- harvest or collect information about other Users without consent;
- engage in any activity that disrupts or interferes with the Service; or
- use the Service for any illegal, fraudulent, or unauthorized purpose.
9. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE CONTENT IS ACCURATE, COMPLETE, OR CURRENT. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE, AND ANY RELIANCE ON THE CONTENT, IS AT YOUR SOLE RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE FASHION LOUPE, ITS FOUNDERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) €100.
11. Indemnification
You agree to defend, indemnify, and hold harmless The Fashion Loupe and its founders, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (i) your access to or use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including intellectual property or privacy rights; or (iv) any content or data you submit to the Service.
12. Termination
12.1 We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause or notice, including for any actual or suspected violation of these Terms.
12.2 You may terminate your account at any time by discontinuing use of the Service and, where applicable, requesting account deletion.
12.3 Sections of these Terms that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, and 13) will survive.
13. Governing Law and Dispute Resolution
13.1 These Terms shall be governed by the laws of Italy, without regard to its conflict of laws principles. [REVISIT once you incorporate a company — confirm this still matches where the operating entity is formed.]
13.2 Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If not resolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Milan, Italy.
14. General Provisions

14.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
14.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
14.5 Contact. Questions about these Terms may be directed to thefashionloupe@gmail.com.
